Terms of Service

These terms are a working draft provided for review. Before relying on them commercially, have them checked by a qualified solicitor for your jurisdiction.

These Terms of Service (“Terms”) govern your access to and use of Air Audits (the “Service”), operated by Olenium (“we”, “us”, “our”). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. What the Service is — and is not

The Service provides website publication assurance: it crawls a public school or trust website, checks it against a versioned catalogue of statutory and recommended publication requirements, and produces an evidence-led report. The report sets out evidence found, evidence not located, items requiring confirmation, and recommended actions.

The Service is not legal advice, a legal certification, an audit in the statutory sense, or a guarantee of compliance, and it does not state or imply that an organisation would pass an Ofsted inspection or any regulatory review. Responsibility for determining and achieving compliance remains entirely with you. The catalogue is maintained with reasonable care and traced to public guidance, but guidance changes and automated checks can miss or misinterpret content; you must exercise your own judgement.

2. Eligibility and authorised use

You may submit a website for audit only where you own it or are authorised by its operator to have it assessed. You must not use the Service to scan websites you are not authorised to assess, to attempt to access non-public systems, or in any way that breaches applicable law or the rights of others. We apply technical safeguards to restrict the crawler to public web content.

3. Accounts

You are responsible for the accuracy of your registration details, for keeping your credentials secure, and for all activity under your account. Notify us promptly of any unauthorised use.

4. Credits, payment and refunds

Audits are paid for using credits bought in advance. One credit is consumed per completed audit. Payments are processed by Stripe; we do not store your card details. Prices are shown before purchase and may be exclusive of VAT, which is added where applicable.

If an audit fails for a reason on our side (for example, our processing does not complete), the credit is automatically refunded to your balance. Purchased credits are otherwise non-refundable except where required by law. Credits have no cash value.

5. Your data and reports

You retain ownership of your organisation’s information and of the reports we generate for you, which you may use and share within your organisation and with your advisers and regulators. We retain ownership of the Service, the rule catalogue, the software, and all related intellectual property. Our processing of personal data is described in our Privacy Policy.

6. Availability

We aim to keep the Service available but do not guarantee it will be uninterrupted or error-free. We may modify, suspend or discontinue features, giving reasonable notice where practicable.

7. Limitation of liability

To the fullest extent permitted by law, we are not liable for any loss arising from reliance on a report as a determination of legal compliance, for indirect or consequential loss, or for loss of profits, goodwill or data. Our total liability arising out of or in connection with the Service is limited to the amount you paid us in the twelve months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot lawfully be excluded (including for death or personal injury caused by negligence, or for fraud).

8. Suspension and termination

We may suspend or terminate access for breach of these Terms or unlawful use. You may stop using the Service at any time. Provisions that by their nature should survive termination (including sections 1, 5, 7 and 10) survive.

9. Changes

We may update these Terms from time to time. Material changes will be notified by email or in the Service. Continued use after changes take effect constitutes acceptance.

10. Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, without prejudice to mandatory consumer protections.
